All purchases made on this website are controlled by these Terms and Conditions. The Terms and Conditions governing your purchase will take effect on the date of your purchase. We reserve the right at our sole discretion to amend these Terms and Conditions at any time. If you order goods after we have published any changes to the Terms and Conditions you will be bound by those changes. Accordingly, you should ensure that you understand the precise Terms and Conditions applicable to your order, before placing your order.

Items purchased are intended for legal use only.

Please note: There is £200 plus vat minimum order requirement when placing an order on JGM Wholesale Limited’s website. Any orders below £200 (Plus VAT) will not be accepted.

How the contract for the goods is formed between you and JGM Wholesale Limited JGM Wholesale Limited will confirm receipt of your order as soon as possible by email, to the email address that you have provided to us.

Please ensure the email address provided is correct and accurate. Please note that you ensure your email mailbox is in proper working order, as all correspondence regarding your order is sent to the email address provided.

Please remember to check your spam or junk mailbox as emails can often be misdirected by your spam filters.

Our acceptance of your order will take place upon the dispatch of the product(s) ordered and at this point the contract will be made. We will supply the product(s) to you in accordance with these Terms and Conditions.

*Please note: All Confectionery and Drinks will have a use by date of at least 2 Months. Any Confectionery or Drinks that have a use by date less than 2 months, we will aim to notify you of this as soon as possible.

If by accident you do receive goods that are short dated, please notify us within 24 Hours via our contact form.

Price and Payment

This is strictly a Trade Only Wholesale website. As a Business you must be registered and verified in order to view our trade prices and to purchase any products.

Please note: There is £200 plus vat minimum order requirement when placing an order on JGM Wholesale Limited’s website. Any orders below £200 (Plus VAT) will not be accepted.

Please note: JGM Wholesale Limited strictly does not offer any form of Retail Sale.

JGM Wholesale Limited does not offer a drop shipping Service.

Prices listed are subjected to change without any notice but changes will not affect any orders that have already been accepted by JGM Wholesale Limited.

The Prices payable for goods on the Website appear on the product pages. The price visible for each product listed includes the Price excluding VAT . The Total VAT charged for your basket will be shown while you process the order.

The Website contains a number of Products and it is possible that, despite our best efforts, some of the Products listed on the Website may be incorrectly priced. If an error is discovered at our end in the price of the goods, you will be informed as soon as possible. We will give you the option of reconfirming your order at the correct price or cancelling it.

Payment for all Products must be by our accepted payment methods. A list of our available payment methods can be found here: JGM Wholesale Limited isn’t under any obligation to sell incorrectly priced goods to you at the incorrect price.​ Only one promotion code can be used per order.

Order Placement

Once an order is placed, a proforma invoice is sent to the customer to make the payment via bank transfer. Once the payment has been made, the order is then packed & dispatched within 1-2 working days for Next Day Delivery. However, please be assured, our aim is to disptach the order as soon as possible.

Delivery Charges

​Mainland (UK)

For orders above £200 + VAT , we will provide *free shipping however not for orders containing cases of Drinks, Bulk Quantity of Crisps, Gas or Lighters (Carton) since these products need to be sent out on a pallet.

For a pallet delivery to be *free of charge, the order will need to be a minimum of £800 plus VAT (depending on the postcode and certain products). As soon as the order has been received, we will send you a proforma invoice. You can then send us the money via a bank transfer. After receiving the payment, the goods will be shipped out the following working day via the Next Day Delivery Service.

*May Not Be Free Deliveries On Offers If your order is below the minimum parcel requirement then there will be a £8+VAT charge per 25kg, per parcel. For a Pallet if its: • Below £400 Plus vat Shipping cost – £60 Plus VAT • Below £600 Plus Vat Shipping cost – £40 Plus VAT • Below £800 Plus vat Shipping cost – £20 Plus VAT ​

Northern Ireland (UK)

For Northern Ireland Customers, Parcel orders need to be £500 plus vat (unless £30 plus vat per parcel up to 25kg charge) for shipping to be Free.

For Pallet Orders to be Free, minimum order requirement needs to be £1000 Plus VAT. If it’s below £1000 Plus VAT, Please refer to the delivery charges, if it is:​ • Below £500 Plus vat Shipping cost – £90 Plus VAT • Below £800 Plus Vat Shipping cost – £70 Plus VAT • Below £1000 Plus vat Shipping cost – £50 Plus VAT Due to Brexit there will be an additional Export Clearance Charge: £18.00 per consignment, including 1 to 3 commodity codes, or line on the Commercial Invoice £6.00 for the fourth commodity code, or line on the Commercial Invoice £6.00 for every extra commodity code, or line on the Commercial Invoice, thereafter All prices include 20% VAT.

PLEASE NOTE

Customers in Northern Ireland will also need to have an EORI number that Begins with ‘XI’. Bear in mind, that even very small businesses will require an EORI number as well. Without an EORI number, we will not be able to dispatch your order. Therefore we recommend that you apply for your EORI number prior to placing an order with us. We accept Bank Transfer as a payment method.

Pallet Deliveries​

If your order is sent on a pallet then you have 15 minutes to check your order is intact and complete. No liability for any damages or discrepancies will be accepted if the proof of delivery is signed for as correct or unchecked.

If your Pallet has arrived Damaged, please ensure, it is signed and checked by the delivery driver. Please ensure a signature is obtained from the driver and photos/videos taken for evidence as this may be asked for, during our investigation. ​ Returns​

At JGM Wholesale Limited, our aim is to provide fair Returns and Replacements Policy, ensuring you can be satisfied with each and every order from us.

​Please be aware that we always try our best to describe the items we sell as accurately as possible. However, please note that images are for illustration purposes only and products may occasionally vary in size, shape or colour.

​You have a legal obligation to take reasonable care of the items while they are in your possession. If you fail to comply with this obligation, JGM Wholesale Limited may have a right of action against you for compensation. This applies to all items that are returned.

​Order errors and/or discrepancies must be notified to us in writing within 24 hours of receipt of the order since some of the items we sell are perishable and we do not accept returns.

​If your order is delivered to you damaged, please contact us immediately along with photographic/video evidence. We will then advise further and you will be refunded once the damaged items have been received back by us.

​The refund will be processed via the initial method of payment.

​If the Goods returned are not in the condition in which they were sent out, JGM Wholesale Limited reserves the right to send the item back to you or provide only a partial refund after assessing the items for damages.

​You are responsible for any damages caused to the goods being returned in transit by inappropriate packaging. We would advise taking photographs of your returning goods prior to sending them back to us.

​JGM Wholesale Limited does not accept returns for Clearance/Sale Products and JGM Wholesale Limited’s Warranty does not apply to those.

​Missing Items

​If it is discovered that Items in your order are missing, JGM Wholesale Limited highly recommend checking your order once again, making sure all corners of the box/boxes are thoroughly checked as well as the packaging material used.

​For any orders containing errors and/or shortages you must notify JGM Wholesale Limited within 24 hours of receipt. Please ensure you have images to support your enquiry. I.e. images of the damaged Pallet/Parcel or Damaged Goods.

Returns address

Refunds

Once a refund has been issued you will receive a confirmation email detailing the amount which has been refunded and the item(s) JGM Wholesale Limited has received back. If a refund or reimbursement is payable to you, JGM Wholesale Limited will transfer the money using the same method originally used by you to pay for your Order.

Warranty

We provide a 2 warranty on all Woox, OnePlus, MTK and Straight Drive Mobile Phone Accessories from the date of purchase. Our product warranty provides cover for mechanical and Technical breakdown, but will be limited and will not cover cosmetic damage, general wear or accidental/liquid damage.

Your warranty does not cover faults caused by accident, misuse or accident.

If there is any visible outer damage or signs of dropping, then your warranty will be voided for those products.

JGM Wholesale Limited aims to process all returns as quickly as possible and you should receive confirmation of this within 14 Days of having returned the item. Please note that at busy times of the year such as public holidays, these times may increase.

Our liability

If an order hasn’t been delivered, contains incorrect items/incorrect quantity, contains damaged/faulty products, our obligation will be to either: Rectify any shortage/non-delivery/incorrect delivery Replace/Repair any Products that are damaged/Faulty Provide a full Refund for the Products in question after investigation Please note; The above must be subject to our Returns Policy.

If we fail to comply with these Terms and Conditions we are responsible for the loss and/or damage you suffer that is a foreseeable result of our breach of these Terms and Conditions or our negligence, up to the amount of the purchase price paid by you for the products order. Our maximum liability is limited to the total cost of your order. We are not however responsible for any loss or damage that is not foreseeable. Loss and or damage is foreseeable if it was an obvious consequence of our breach or if it was contemplated by you and us at the time you placed the order.

Events outside our control

JGM Wholesale Limited will not be liable or responsible for any failure to perform, or delay in performance of any of its obligations to you that is caused by events outside JGM Wholesale’s reasonable control (a “Force Majeure Event”). A Force Majeure Event includes any act, event, non-happening, omission or accident beyond JGM Wholesale’s reasonable control and includes (without limitation) the following ​

(a) Strikes, lock-outs or other industrial action; (b) Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war; (c) Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster; (d) Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; ​

(e) Impossibility of the use of public or private telecommunications networks; or (f) The acts, decrees, legislation, regulations or restrictions of any government.

In the event of a Force Majeure Event, JGM Wholesale Limited ‘s performance is deemed to be suspended for the period that the Force Majeure Event continues, and JGM Wholesale Limited will have an extension of time for performance for the duration of that period. JGM Wholesale Limited will use its reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which its obligations to you may be performed despite the Force Majeure Event.

Written communications

Applicable laws require that some of the information or communications JGM Wholesale Limited sends to you should be in writing. By accessing the Website, you accept that communication with JGM Wholesale Limited will be primarily electronic through e-mail or notices posted on the Website. For contractual purposes, by accessing the Website you agree to this electronic means of communication and you acknowledge that all contracts, notices, information and other communications that JGM Wholesale Limited provides to you electronically comply with any legal requirement that such communications be in writing. This condition does not affect your statutory rights.

Notice will be deemed received and properly served immediately when posted on our website. This can mean 24 hours after an email has been sent or 3-5 days after the date of posting a letter.

Please be sure to provide sufficient proof, in the case of a letter, that such letter is properly addressed, stamped and placed in the post (When requested please provide the postal receipt). In the case of an email, please be sure that it is sent to the correct email address of the addressee.

Errors and Omissions

JGM Wholesale Limited cannot be held responsible for any inaccuracies within this information provided and cannot guarantee it to be accurate.

The manufacturers of these products are liable to change or modify any of the above information, without notice, at any time. Whilst JGM Wholesale Limited will make all endeavours to ensure that the information displayed is accurate, you must ensure that you carefully read the product packaging, including ingredients, allergens and any health and safety warnings, before consumption.

In respect of the advertised product weight, as per industry standards, JGM Wholesale Limited cannot be held responsible for a 10% variance in the stated net weight. If any of your products vary by more than 10%, please contact JGM Wholesale Limited and upon receipt of the returned product JGM Wholesale Limited will offer a full refund including any reasonable postage costs.

Entire agreement

These Terms and Conditions along with any document directly referred to, represents the entire agreement between us with regards to the subject matter of the Contract and supersedes any prior agreement, understanding or arrangement between us, whether oral or in writing.

In entering into a Contract, neither the wholesaler/Customer relies on any representation, undertaking or promises given by the other or be implied from anything said or written in negotiations between us prior to such Contract except as directly stated in these Terms and Conditions.

Neither the Wholesaler or Customer shall have any remedy in respect of any untrue statement made by the other, whether orally or in writing, prior to the date of any Contract (unless such untrue statement was made fraudulently) and the other party’s only remedy shall be for breach of contract as provided in these Terms and Conditions Termination

We retain the right to Delete your account at any time and restrict access to the website, if there is a risk of loss or liability to us or if there is a reasonable reason for doing so.

If we terminate your account we will refund in full any orders that have not yet been dispatched.

Amendment of Terms and Conditions

JGM Wholesale Limited has the right to revise and amend these Terms and Conditions at any time to reflect changes that may occur in the Market which affect the business. These changes may include change in payment methods or changes in relevant law/Regulatory requirements and changes in our system’s capabilities or for any other reason in our sole discretion.

You will be subject to the terms and conditions that are in force at the time that you order goods from JGM Wholesale Limited unless: Any change to these terms and conditions is required to be made by law or governmental authority, in which case the changes may apply to orders previously placed by you; or JGM Wholesale Limited notifies you of any changes to these terms and conditions before it accepts your order, in which case JGM Wholesale Limited has the right to assume that you have accepted the change to the Terms and Conditions unless you notify JGM Wholesale Limited to the contrary within seven (7) working days of receipt by you of the goods.

Waiver

If JGM Wholesale Limited fail, at any time during the term of the contract, to insist upon strict performance of any of your obligations under any contract or any of these terms and conditions, or if JGM Wholesale Limited fail to exercise any of the rights or remedies to which JGM Wholesale Limited are entitled under the contract, this shall not constitute a waiver of such rights or remedies and shall not relieve you from your compliance with such obligations.

A waiver by JGM Wholesale Limited of any default shall not constitute a waiver of any subsequent default.

No waiver by JGM Wholesale Limited of any of these terms and conditions shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing by email or recorded letter.

Governing law and jurisdiction

These terms and conditions shall be subject to English law. The courts of England and Wales shall have exclusive jurisdiction over all claims or disputes (whether contractual or non-contractual) arising in relation to, out of or in connection with these terms and conditions including orders for goods.
